Metropol CRB Hands Over Credit Reference Operations

Metropol Credit Reference Bureau (CRB), one of Kenya’s top three licensed credit bureaus, has officially announced the transfer of its credit reference business to GENI 1 Kenya Limited. The transition, revealed through a public notice dated April 11, 2025, is being executed via an Asset Transfer Agreement.

GENI 1 Kenya Limited will now assume control of all credit data operations, including systems and infrastructure, previously handled by Metropol. However, select contracts and liabilities have been excluded from the transfer.

Why the Business Was Transferred

According to the notice, the primary goal is to ensure uninterrupted services to customers, banks, and institutions relying on Metropol’s data. The agreement, signed on December 31, 2022, includes specific conditions and exclusions.

“The Transferee intends to continue carrying on the business of a credit reference bureau based on the terms, operations, and related activities of the Transferor,” Metropol explained.

CBK Approves the Transition

The Central Bank of Kenya (CBK), which oversees CRB operations under Chapter 488 of Kenyan law, has granted full approval for the transfer. Stakeholders have been invited to raise objections within two months under the Transfer of Businesses Act (Chapter 500).

What It Means for Clients and Employees

Post-transfer, GENI 1 Kenya Limited will take charge of all regulatory compliance, data management, and service delivery. However, the company will not assume certain liabilities from the date of transfer.

Legal advisors Anjarwalla & Khanna LLP and PACIFS Advisory Limited are handling the transition on behalf of the involved companies. Concerned parties are urged to contact the Metropol CRB Company Secretary at their KCB Towers office within two months of the notice.
